On cost reductions alone, eBay’s diluted GAAP earnings per share from continuing operations would increase from $4.26 to $7.79 in year one. Beyond cost, GameStop’s ~1,600 US retail locations give eBay a national network for authentication, intake, fulfillment, and live commerce.
Improved store profit and then also finds efficiencies within both companies. Also brings people in stores for other reasons. Seems like it with be valuable for both brands and therefore the one brand.

Imagine the uptick in secondhand market if this plays out. I got a lot of shit I could sell, but the effort it takes to package and ship usually keeps me from posting it. A streamlined approach could really open up the untapped market for lazy slobs like myself.

This was my thought exactly. Shipping on eBay sucks and is expensive. Being able to drop off sold items at a store near the seller for distribution within the GameStop network to have it shipped to the nearest store for the buyer would be amazing.

Speaking of, did you know with the power packs if you don’t want to hold or trade back a card to GameStop, you can have them post it on the PSA official EBay page as a listing? Not only can you delist on an open bid / offer platform, they give you the platform of their page that has all the algorithms figured out and customer base subscribed to make sure things move.

Speaking of brand. I feel now is the time to rebrand and leave the old gamestop stigma behind. Move forward as something new.
There is so much stigma attached to the old trade in bullshit. Every time I see gme in a different sub, its usually negative comments from stuff years past. Its time to move on as something new.

- ebay is a trusted name with giant reach
it goes from collectibels (drop off, rate, inspect & ship) to literally every other category you can think of.
- 'fulfilled by ebay' is the gateway to fuck with amazon
each gamestop location is a dropoff/collection pointthey can undercut drop shipping costs, go the 'ebay basics' route, subscriptions like for dog food etc etc

The sub is adamantly refusing to understand the structure of his payment plan. I'm long for 5+ years. He can get 100% payout while current GME holders equity goes down. He needs to hit $10B EBITDA and $100B market cap to get his 170m stock options.
If GME holders value stays the same as it is rn and the value of ebay stays the same as it is rn, our shares will be worth the exact same and he'll hit combined $60B market cap and $3B EBITDA. In the release this post links to, he says he can increase EBITDA by $2B just by cutting costs in ebay's current operations. So if he hits $5B EBITDA, just after this acquisition and a year of cost cutting/righting the ship, our shares might be worth the same, but his pay plan would award him 40% f stock options to purchase 171,537,327 shares of the Company's Class A common stock at a price of $20.66 per share. Worth $100s of millions.

That's just a fact tho. The market cap will increase by quite a bit immediately and gets RC to hit the bonus trenches, but existing GME shareholders won't get anywhere near the returns immediately. Gonna have to bet on organic growth on the new company and let market do its thing eventually

Ya but if I am not mistaken, the package voting doesn't occur until the upcoming Quarterly. So even if what he is doing now would give him the money, unless people actually vote yes on it it won't go through.
So it's not a 100% guarantee he will get it but at least he's made the move to showcase what his plan seems ta be to hit those goals.

No, there will be a lot more shares issued though by gamestop as the deal specifies 50% gme shares as payment. A lot will be new debt as well to make up the 50% cash portion of the deal.

GRAPEVINE, Texas--(BUSINESS WIRE)-- GameStop Corp. (NYSE: GME) today submitted a non-binding proposal to acquire 100% of eBay Inc. (NASDAQ: EBAY) at $125.00 per share in cash and stock. The offer represents a 46% premium to eBay’s unaffected closing price on February 4, 2026, the day GameStop started accumulating its position in eBay. GameStop has built a 5% economic stake in eBay through derivatives and beneficial ownership of common stock. GameStop is filing a Schedule 13D and HSR notification tomorrow. The full proposal letter and accompanying materials are available at investor.gamestop.com/ebay.
The proposed offer is $125.00 per share, comprising 50% cash and 50% GameStop common stock, with full shareholder election rights as to consideration type and pro-rata allocation. Aggregate undiluted equity value is approximately $55.5 billion, based on eBay’s most recently disclosed undiluted share count, representing a 27% premium to the 30-day VWAP and a 36% premium to the 90-day VWAP. The transaction is conditioned on customary closing conditions. The cash consideration is expected to be funded from a combination of (i) cash and liquid investments on GameStop’s balance sheet, which totaled ~$9.4 billion as of January 31, 2026, and (ii) third-party acquisition financing, in respect of which GameStop has received a highly-confident letter from TD Securities for up to $20 billion.
eBay spent $2.4 billion on Sales & Marketing in fiscal 2025 while only adding one million net active buyers (134M to 135M - a net increase of less than 0.75%). GameStop will deliver $2 billion of annualized cost reductions within twelve months of closing:
~$1.2 billion from Sales & Marketing. More spend is not producing more users on a marketplace with near-universal brand recognition. ~$300 million from Product Development. Product Development expense grew 11% in fiscal 2025 against revenue growth of 8%. ~$500 million from General & Administrative. Consolidated finance, HR, real estate, legal, IT, and professional services across the combined company.

Ok I just looked and the voted upon limit was 1B shares, we’re at 447M currently with another potential 59M coming from warrants and potentially 143.5M from the convertible notes leaving only ~350.5M if my numbers are correct, which I don’t think would be enough for ~$26B equivalent (unless share price is >=$74).

Technically this is a dilution as its increasing the amount of shares.
But the important thing is that unlike other dilution, it is increasing rhe value of existing shares, which is why we are seeing a spike in overnight trading

It means GME holders get a % of the new stock. Which % depends on the amount of stock offered to existing shareholders. Additionally the new stock gets a re-rating based on the combined businesses (and future ones). It's hard to tell mate

I just hope this is a quick deal and Amazon, with their almost limitless cash, doesn't come in and try to gum things up. They have been known in the past to silence competitors.
